business stuff

It's important to make sure this business is not about profit. We must safeguard that and maintain its integrity. Let's discuss that and make sure it doesn't change.

Important aspects of this document include:

    • Not-for-profit - no ownership or shares, all trading surplus goes back in to the business
    • directors can take a maximum of £30k / year
    • business cannot be sold for personal gain
    • stated aims of promoting positive community things

Comments and suggested changes are most welcome.

This document is not relevant to normal community groups because 9carrots UK can provide you with all you need to run the scheme for free. Simply request a starter pack and get going!

This agreement is only for organisations that want to develop a not-for-profit business around 9carrots in their country where one does not exist already, helping all the community groups, printing receipt books and advertising the scheme. This is done because it is better that a national business who understands the law and culture in the country manages the area and supplies receipt books.

Currently there are national franchises in Canada and the UK (original).

In order to safeguard the core principals of 9carrots we have develop this MOU with them. Its core points are that:

    • Anyone can do 9carrots and use all the stuff we have
    • No one should get rich from it
    • Everything should be open source and copyleft
    • It has to be about change, not about personal financial reward
    • We are currently developing the possibility of volume based charging for national entities

Because the MOU is a legal document, its current format cannot be changed and community input is bought into it periodically. Download the current PDF.

Yes, we do have revenue models!

    • Accreditation
    • Local and national energy efficiency upgrade supplier deals
    • Permission based local business advertising to 9carrots shoppers

However, we could always use more. Please throw some ideas in...

    Liability, volunteers, insurance

9carrots is a company limited by gurantee. In legal terms that means that 9carrots is a person who takes responsibility for whatever 9carrots does in the UK. Volunteers, environmental groups implementing 9carrots will be doing it under the 9carrots umbrella. As long as you use the contracts and media developed here by all of us and it has 9carrots written on it then you are covered by the limited liability of the company.

    Funding

9carrots is currently looking for funding. We need capital to cover costs while the business expands and its revenue models kick in.

We are a not-for-profit social enterprise with 3 un-related directors and 2 account signatories. Our main focus is helping communities become stronger. Specifically around energy efficiency and Climate Change but also generally about linking the community to its businesses and infrastructure more closely.
